Velo3D Announces Proposed Public Offering

FREMONT, Calif., April 9, 2024–(BUSINESS WIRE)– Velo3D, Inc. (NYSE: VLD) (the “Company”), a leading additive manufacturing technology company for mission-critical metal parts, today announced that it intends to offer and sell shares of its common stock and warrants to purchase shares of its common stock in a “reasonable best efforts” public offering. All of the securities to be sold in the offering are to be offered by Velo3D, Inc. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.

The Company shall use the net proceeds from the sale of the securities primarily for funding working capital and capital expenditures and other general corporate purposes, including repayment of the Company’s senior secured notes due 2026 and other permitted indebtedness.

A.G.P./Alliance Global Partners is acting as sole placement agent for the offering on a reasonable best-efforts basis.
